Confidentiality Intellectual Property and Project Information

The customer retains ownership of drawings, photographs, schedules, designs and other material it supplies. The customer gives us a limited permission to use, reproduce and share that material as reasonably necessary to quote, source, manufacture, supply, deliver and administer the project.

The customer confirms it has authority to provide the material and that our permitted use will not infringe another person’s rights.

We retain ownership of or rights in our quotations, pricing structures, samples, product presentation, drawings, details, specifications, photographs, website content and other proprietary material. Customers may use supplied technical material for the genuine evaluation, specification, purchase, installation and maintenance of Teak & Rope products for the relevant project.

It must not be used to manufacture or market a competing product, remove ownership notices, or imply that another product is a Teak & Rope product.

Each party must take reasonable care of non-public commercial, technical or project information identified as confidential or reasonably understood to be confidential. This does not include information already lawfully known, independently developed, publicly available without breach, or lawfully received from another source without restriction.

Information may be shared with employees, professional advisers, manufacturers, service providers, carriers and project participants who reasonably need it for the permitted purpose and are subject to suitable duties. A party may also disclose information where required by law, court or regulator, giving notice where lawful and practicable.

We will not publicly identify a private customer, publish confidential drawings or use non-public project photographs for marketing without permission. Separate written approval will be sought for a case study, testimonial, site photography or use of a customer’s name, logo or project identity.
