Terms of Supply and Website Use

Teak & Rope is a trading name of Galleria Italia Pty Ltd ABN 53 687 436 960. In these terms, “Teak & Rope”, “we”, “us” and “our” mean Galleria Italia Pty Ltd trading as Teak & Rope.

These terms apply to use of teakandrope.com.au and to products supplied by us unless a signed written agreement states otherwise. A quotation, order confirmation, applicable product schedule, warranty policy and current installation guide form part of the supply terms for an order.

If documents conflict, mandatory law applies first, followed by any signed written agreement, the accepted quotation or order confirmation, the product-specific schedule, these terms and general website content. Product-specific technical instructions take priority over general guidance for that product.

A quotation is an invitation to place an order, not a promise to supply. Unless the quotation states otherwise, it remains open for 30 days and may be withdrawn before we accept an order.

An order becomes binding when we issue written acceptance or an order confirmation and receive any required deposit. Availability, production capacity, freight and lead times are confirmed at acceptance. Estimated dates are not guaranteed delivery dates unless expressly stated in writing.

The customer must check the order confirmation immediately, including product, profile, colour, finish, quantity, dimensions, opening direction, glazing, accessories, delivery address and intended application. Any discrepancy must be raised before production, cutting or dispatch.

Customers must disclose the intended use and all material project conditions before ordering, including whether the project is residential or commercial; internal or external; in a wet, coastal, bushfire-prone or regulated application; and subject to specified fire, acoustic, structural, wind, water, slip, thermal or other performance requirements.

Samples, images, displays and digital renders are indicative. Colour, grain, texture, veining, gloss, dimensions and other characteristics may vary within reasonable manufacturing and natural-material tolerances. Customers should approve current physical samples and, where appearance matching is important, order sufficient material from one production batch with suitable cutting and wastage allowances.

Quantities calculated from customer-supplied drawings or measurements are estimates unless we have expressly accepted responsibility for measurement in a signed agreement. The customer remains responsible for final site measurement, construction tolerances, cutting plans and wastage.

Prices are in Australian dollars. GST treatment will be shown on the quotation or invoice. Freight, unloading, storage, access equipment, installation, engineering, certification, testing and other services are excluded unless expressly itemised.

Deposits, progress payments and balances are payable as stated in the accepted quotation. We may pause procurement, production or dispatch while an amount is overdue. Title to products remains with us until all amounts for the relevant order are received in cleared funds. This retention of title does not alter when risk passes under section 06.

Custom products include made-to-measure windows and doors, kitchens, joinery, specially finished or cut materials, project-specific profiles and products ordered or manufactured specifically for a customer.

The customer must approve drawings, schedules, dimensions, finishes and specifications before production. Once procurement or production begins, a change or cancellation is subject to our written agreement and the reasonable costs already incurred. Change-of-mind returns are not available for custom products. This does not limit rights relating to defective goods, goods that do not match the agreed specification, or other rights under the Australian Consumer Law.

Delivery dates are estimates unless we expressly agree otherwise in writing. The customer must provide safe, lawful and suitable access, an authorised recipient and sufficient people or equipment to unload where unloading is not included.

Risk passes when the products are delivered at the agreed location, collected by the customer or its carrier, or otherwise placed at the customer’s disposal as agreed. The customer must then keep products secure, dry, supported, ventilated and protected in accordance with the applicable guide.

Visible freight damage or shortage should be recorded on the delivery document and reported promptly with photographs. Prompt reporting helps us investigate the carrier and does not remove any non-excludable rights.

Products must be inspected before cutting, drilling, gluing, assembling or installing. Check identity, quantity, profile, dimensions, colour, batch, finish, visible condition and the current technical documents.

Do not install a product that appears incorrect, damaged, defective, inconsistent, unsuitable or unsupported by the required project approval. Stop work, isolate the affected material and contact us. Continuing to install a visible issue may increase avoidable loss and can affect responsibility for costs caused by that decision, but does not remove rights that cannot lawfully be excluded.

Installation is generally treated as acceptance of visible appearance, batch variation and characteristics that a reasonable pre-installation inspection should have identified, subject to the Australian Consumer Law.

Teak & Rope supplies materials and available product information only. We do not install, supervise installers, certify work or act as the customer’s architect, engineer, building designer, builder, certifier, waterproofing consultant, façade engineer, fire-safety consultant, glazier, electrician or other project professional.

The customer is responsible for appointing suitably qualified and licensed professionals; confirming site conditions and product suitability; obtaining designs, approvals and evidence of suitability; and ensuring storage, handling, substrates, structures, drainage, ventilation, waterproofing, flashings, fixings, adhesives, services and installation comply with the project documents, applicable law, the NCC and relevant standards.

Any installer mentioned by us remains an independent third party engaged by the customer. A recommendation or contact detail is not a warranty of the installer’s availability, licensing, price or workmanship.

Product information may include manufacturer statements, test reports and technical data. A manufacturer claim or independent test result is not, by itself, a representation that a product or every possible installation complies with the NCC or is accepted for a particular Australian project.

Where regulated performance matters, the customer’s project professionals and approval authority must confirm that the exact product, model, batch where relevant, configuration, substrate, fixing method and intended use are supported by acceptable evidence of suitability.

“Waterproof” or “water-resistant” may describe the material itself. It does not mean that an installed wall, deck, floor, façade, window, wet area or other assembly is a compliant waterproofing or weatherproofing system. Fire-related wording must be read as the precise classification in the applicable report, not as a general claim that the product is “fireproof”.

Change-of-mind returns are governed by our Returns, Refunds and Exchanges Policy. Defects, voluntary warranties and claims are governed by our Product Warranty Policy and Complaints and Warranty Claims Procedure.

Voluntary warranty periods vary by product and by residential or commercial use. Only the period stated in the applicable written warranty schedule, accepted quotation or product schedule applies. Voluntary warranties are additional to rights and remedies that cannot be excluded under the Australian Consumer Law.

Website content is general information and may change. It is not project-specific design, engineering, certification or legal advice. Current product documents should be requested before specification, purchase or installation.

Unless otherwise stated, the website, text, photographs, graphics, drawings, downloads, trade marks and product presentation are owned by or licensed to Galleria Italia Pty Ltd. They may be viewed and downloaded for genuine evaluation or specification of Teak & Rope products. They must not be republished, altered, sold or used to misrepresent another product without written permission.

Nothing in these terms excludes, restricts or modifies a consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified.

Where the law permits a liability to be limited, our liability will be limited only to the extent that is fair and legally available in the circumstances. We are not responsible for loss caused or contributed to by inaccurate customer information, unsuitable selection, third-party design or workmanship, non-compliant storage or installation, incompatible materials, unauthorised alteration, misuse, inadequate maintenance or a failure to stop work when an apparent issue should reasonably have been investigated.

No exclusion applies to the extent the loss was caused by our breach, negligence, a defective product supplied by us, or another liability that cannot lawfully be excluded.

We are not responsible for delay caused by events beyond our reasonable control, including manufacturing interruption, shipping disruption, port delay, industrial action, natural disaster, severe weather, epidemic, government action, utility failure or carrier interruption. We will take reasonable steps to reduce the effect and keep the customer informed.

This section does not remove any right to terminate or obtain a remedy that applies under mandatory law.

Please raise concerns promptly so we can investigate. The parties should first try to resolve a dispute through good-faith discussion and exchange of relevant documents. Either party may seek urgent relief or exercise a statutory right at any time.

These terms are governed by the laws of New South Wales, Australia. The parties submit to courts with jurisdiction in New South Wales, subject to any mandatory law allowing proceedings elsewhere.
